When you set up a professional corporation in Florida, you must file articles of incorporation with the Secretary of State of Florida. A professional corporation must be differentiated from other companies by designating it is a professional association (society) in its name. What constitutes a professional association is different in each state, but it is generally one that requires a license as applied to doctors and lawyers.
See if the name you want to use for your company is in use. Search the Florida Department of State 's Division of Corporations Web site. (See Resources).
File articles of incorporation for the benefit of the Secretary of State of Florida. The articles must include the organization 's name. A professional association (or society) should include "PA " "professional association, " or "bill " in its name. The articles must also include the company 's address, business purpose and number of authorized shares of stock for the company. Articles should also include the name and address of the founder and registered agent in Florida.
Include payment of $ 35 for the filing fee, $ 35 for the designation of registered agent, and $ 8.75 if you want a certified copy. If you want a certificate of status, including an additional $ 8.75.
